The Nairobi Securities Exchange (NSE) is a company licensed by the Capital Markets Authority (CMA) to facilitate the trading of financial products through the provision of a trading platform for listed securities.
In line with this, the NSE is seeking to recruit a highly competent and outstanding individual to fill the position of Director, Legal & Corporate Affairs
Overall Purpose: Ensure that the company has the necessary positive visibility to attract business and increase its market share and also provide necessary legal advice and guidance to facilitate effective strategy execution.
Responsibilities
- Provide legal advice and support, interpretation, guidance and support on all legal matters related to company activities and new and existing products in compliance with applicable national and international legislation, including advising the Board of Directors and senior management on legal implications of Company strategy, transactions and operations;
- To lead liaison with external legal counsel;
- Maintain a sound and overarching corporate governance strategy for the organization to ensure the highest level of assurance and accountability in the organization’s decision making processes;
- Ensure effective custody of all contracts and legal documents and support the Company Secretary by coordinating and arranging Board meetings, committee meetings and drafting minutes and reports when required;
- Draft the Company’s internal policies, ensuring their compliance with relevant laws and global best practice, review training material and presentations on the legal requirements for both new and existing products and provide specialist legal advice on key business areas such as Employment Law, Mergers and Acquisitions, Derivatives, Exchange Traded Funds, Information Technology and Corporate Governance;
- Draft, negotiate and periodically review Leases, Service Level Agreements, Non-Disclosure Agreements, Information Technology Licenses, Memoranda of Understanding with other Exchanges, Service and Consultancy agreements on behalf of the Company and its partners and protect the Company from any liability;
- Develop and effectively manage relationships with all of NSE’s key stakeholders including the media, investors, customers, regulators and the government and guard against brand erosion of any form;
- Take charge of all strategic and operational communication including but not limited to speeches, communique’s, crisis management pieces and any other adhoc public communication;
- Effectively manage the media to ensure that the Exchange is portrayed positively, support the Chief Executive in addressing media matters and handle media queries and requests as appropriate;
- Expand regional and global engagement, through operationalizing the existing and new Memorandums of Understanding and Agreements with other Exchanges, manage the ASEA secretariat and facilitate the NSE to attain the WFE member status and MSCI ranking; and
- Oversee the planning and organising of workshops, seminars, conferences, exhibitions and road shows designed to create awareness and sensitise stakeholders including the general public.
Minimum qualifications and desired skills
- Bachelor’s degree in Communications, Law or a Business related field;
- Eight (8) years’ experience in the financial services sector;
- Strong leadership skills including effective interpersonal and negotiation skills;
- Excellent event management skills;
- Working knowledge of the media industry both locally and internationally, with key networks;
- Understanding of the PR and communication industry in keeping with changing technological trends;
- Strategic thinker with ability to move effortlessly between strategy, implementation and tactical opportunities;
- Confident, persuasive individual who is at ease with both senior management and external stakeholders;
- Great team player with positive and enthusiastic approach;
- Ability to draft and review legal documents;
- Knowledge of Rules and Regulations of the NSE and CMA, and working knowledge of the mechanics of the Kenyan capital market;
- Excellent verbal and written communication skills; and
- Ability to maintain confidentiality of privileged information and to ensure absolute discretion and sensitivity to confidential matters.
